Terms of Service Agreement

This Terms of Service Agreement (“Agreement”) is entered into by and between you (“User”), which includes both Clients and Mechanics, and KarKar Ops LLC, a Delaware limited liability company registered in California, located at 8 The Green STE B, Dover, Kent County, DE 19901, United States (“KarKar Ops,” “Company,” “we,” “our,” or “us”). KarKar Ops LLC operates the KarKar platform (“Platform”). Intellectual property, including but not limited to software, trademarks, patents, copyrights, and mascots, is owned by KarKar IP LLC, a Delaware limited liability company (“KarKar IP”). However, all operational obligations, payments, subscriptions, disputes, and enforcement under this Agreement are undertaken solely by KarKar Ops LLC. By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, you may not use the Platform. 1. Age Restriction The Platform is intended only for individuals who are eighteen (18) years of age or older. By creating an account or using the Platform, you represent and warrant that you are at least 18 years old. Users under 18 are strictly prohibited from accessing or using the Platform. 2. Platform Role KarKar is a technology marketplace connecting Clients with independent Mechanics. KarKar does not itself provide repair services. All repair services are performed solely by Mechanics who are independent contractors, not employees, partners, or agents of KarKar. 3. Account Registration Users must be at least 18 years old and capable of forming a binding contract. Mechanics may be required to submit licenses, certifications, and undergo verification through Stripe or other third-party providers. Users agree to provide accurate, complete, and updated information. 4. Payments and Fees Clients agree to make all payments for services through the Platform. Mechanics receive payouts through Stripe or other supported payment providers, net of KarKar’s service fees. Progressive platform fees apply based on total revenue earned in a 30-day period: - Tier III (Bronze): $0–$5,000 → 30% fee - Tier II (Silver): $5,000–$10,000 → 25% fee - Tier I (Gold): $10,000+ → 20% fee KarKar may offer subscription plans for Mechanics. KarKar may delay, withhold, or cancel payments if fraudulent activity or chargebacks are suspected. 5. Non-Circumvention Mechanics are prohibited from soliciting or accepting payments outside the Platform from Clients introduced through KarKar. Any attempt to bypass KarKar, including cash or private transfers, is a material breach and may result in account termination, forfeiture of funds, and legal action. 6. Service Standards Clients contract directly with Mechanics for repairs. KarKar does not warrant or guarantee the quality, safety, or legality of services. Clients and Mechanics are solely responsible for their interactions. 7. Dispute Resolution (a) Informal Resolution: Both parties must attempt good-faith resolution with written notice and a 30-day response period. (b) Arbitration: If unresolved, disputes are resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Rules. (c) Class Action Waiver: All disputes must be pursued individually. (d) Exceptions: KarKar may seek injunctive relief in court to protect intellectual property or confidential information. 8. Prohibited Uses Users may not use the Platform for unlawful purposes, fraud, harassment, or interference with operations. 9. Intellectual Property KarKar IP LLC retains ownership of all Platform intellectual property. Users receive a limited, non-exclusive, revocable license to use the Platform. 10. User Content and License By uploading or submitting any content (photos, videos, vehicle images, text, reviews, or profile materials), you retain ownership but grant KarKar Ops LLC and KarKar IP LLC a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, adapt, and display such content for operation, promotion, and improvement of the Platform. Users warrant ownership rights to their uploads. KarKar may remove or disable content violating laws or policies. 11. Taxes and Reporting Mechanics are solely responsible for any applicable taxes arising from Platform earnings. KarKar may issue required tax forms (e.g., Form 1099). 12. Indemnification Users agree to indemnify, defend, and hold harmless KarKar Ops LLC, KarKar IP LLC, and affiliates from any claims, losses, or expenses arising from (i) use of the Platform, (ii) violation of this Agreement, or (iii) any repair service provided or received. 13. Disclaimer of Warranties The Platform and services are provided “as is” and “as available.” KarKar disclaims all express or implied warranties, including merchantability, fitness for a purpose, and non-infringement. 14. Limitation of Liability To the fullest extent permitted by law, KarKar Ops LLC and its affiliates are not liable for indirect, incidental, special, or consequential damages. KarKar’s total liability to any user shall not exceed the greater of $100 or the total fees paid by the user in the past six months. 15. Governing Law This Agreement is governed by Delaware law. Courts in Kent County, Delaware, have exclusive jurisdiction for matters not subject to arbitration. 16. Account Suspension and Termination KarKar may suspend or terminate any account at its discretion, with or without notice, for policy or legal violations. 17. Changes to Terms KarKar may amend these Terms at any time, effective upon posting. Users will be notified of material changes. Continued use signifies acceptance. 18. Miscellaneous This Agreement constitutes the entire understanding between the parties. If any provision is found unenforceable, the remainder remains in effect.
